Terms of Service.

This is a plain-language summary of how Ante works. It’s a contract, but we’ve tried to write it like a human. If anything’s unclear, write us at contact@plurelinc.com. These Terms of Service are effective as of the date above and form a binding agreement.

The basics

By using Ante (the button, the dashboard, the API, the upcoming Compass product, this website, anything we ship under the Ante brand), you agree to these terms. If you don’t, please don’t use Ante.

Ante is operated by Ante, Inc., a Delaware corporation built out of California. We refer to ourselves as “we,” “us,” or “Ante.” We refer to you as “you,” “customer,” or “merchant” depending on context.

Your account

To integrate Ante into a checkout, you need a merchant account. To initiate or join a group payment as a customer, you do notneed an account. That’s the point.

  • You’re responsible for keeping API keys safe. If you lose one, rotate it.
  • Don’t share your dashboard login with people who shouldn’t see it.
  • You confirm that any business info you provide is accurate.

Using Ante

Ante’s purpose is to let groups pay together at checkout. You agree to use it for that. You won’t use it to:

  • Misrepresent what a customer is paying for.
  • Process payments for prohibited categories (see § 06).
  • Try to bypass split rules to charge a single participant the whole amount.

Payments & fees

Ante's service fee is a 1%participant service fee added to each payer's share at checkout. That fee is Ante's revenue for coordinating the group payment. Participants see it disclosed before they pay.

Merchant settlement may reflect pass-through amounts related to card and payment processing, including interchange, network, and settlement costs incurred when we collect and route group funds. Those amounts are not Ante service fees; they recover transaction costs associated with moving money. Merchants generally receive the purchase price for fulfilled orders, adjusted only for documented processing pass-throughs, refunds, chargebacks, and amounts required by law or by our payment partners.

There are no setup fees, monthly platform fees, or minimums for using Ante at launch. Compass, when it launches, will be priced separately. We'll publish pricing at general availability.

Refunds & disputes

Ante is atomic: a group session settles only when every participant has paid. If the cutoff is missed, the entire session is refunded automatically. There are no partial settlements.

If a participant disputes a charge, we follow the card network’s chargeback process. Merchants can supply evidence through the dashboard. We try to resolve in your favor where the facts support it.

Acceptable use

You won’t use Ante for:

  • Anything illegal in the merchant’s or participants’ jurisdiction.
  • Adult content, weapons, illicit drugs, or restricted financial services.
  • Schemes designed to coerce participants into paying.
  • Bot-driven test traffic that we haven’t pre-authorized.

We can suspend accounts that violate this without notice.

IP & content

The Ante name, button design, Compass wordmark, this site’s content, and our marks are ours. You can describe Ante in your own words, link to us, use the official press kit (/press), but please don’t recolor the button, recompose the lockup, or imply a partnership we haven’t agreed to.

Disclaimers

Ante and Compass are provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade. We do not warrant that the service will be uninterrupted, secure, error-free, or that any defect will be corrected. You use the service at your own risk.

Liability

To the maximum extent permitted by applicable law, Ante’s total aggregate liability to you for any and all claims arising out of or relating to these terms or the service is limited to the greater of: (a) the fees paid by you to us in the 12 months preceding the event giving rise to the claim, or (b) US $100. In no event shall Ante, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business, even if advised of the possibility of such damages and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, in which case the limitations apply to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Ante, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the service, your content, or your violation of these terms or applicable law.

Termination

You can stop using Ante at any time by closing your account. We may suspend, restrict, or terminate your access to Ante at any time, with or without notice, including if you breach these terms, if a payment partner, card network, bank, or regulator requires us to, if we suspect fraud or risk, or if continued provision would be impracticable. On termination, your right to use the service ends immediately; sections that by their nature should survive (including payments owed, IP, disclaimers, liability, indemnification, governing law, and dispute resolution) will survive.

Our rights & account actions

Ante reserves the right, at our sole and absolute discretion, with or without notice, and with or without cause, to: suspend, disable, restrict, lock, hold balances on, or terminate any account or session; remove, refuse to process, or reverse any group session, transaction, content, or invite; refuse service to any person; investigate suspected violations of these terms or applicable law; and take any other action we reasonably deem necessary to protect users, the platform, our employees, our partners, or our legal, regulatory, or commercial interests. We are under no obligation to provide a reason for any such action, nor to provide a refund of any fees, and we will not be liable to you or any third party for taking or declining to take any such action. Nothing in these terms limits any rights or remedies otherwise available to us at law or in equity.

Changes to the service

We are continuously improving Ante. We may, at any time and without liability to you, add, change, restrict, throttle, suspend, or discontinue any feature, integration, API, region, route, surface, or aspect of the service, in whole or in part, on a temporary or permanent basis. We may also impose limits on usage, transaction volume, or access in our sole discretion. We will use reasonable efforts to notify merchants of material breaking changes where practicable, but no specific feature, uptime, or roadmap item is guaranteed.

Governing law & disputes

These terms, and any dispute arising out of or relating to them or the service, are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction and venue there. To the extent a claim is not subject to mandatory arbitration, you and Ante waive the right to a jury trial. We may require binding individual arbitration for certain claims; details will be provided in the dashboard or upon request.

Changes to these terms

We may update these terms at any time. If we make material changes, we’ll notify you by email or in the dashboard with at least 30 days’ notice; for non-material changes we may update the effective date without separate notice. Continued use of the service after the effective date constitutes acceptance of the updated terms.

Severability & entire agreement

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These terms, together with any additional policies referenced herein, constitute the entire agreement between you and Ante regarding the subject matter and supersede all prior agreements.
